ANNUAL GENERAL MEETING OF SHAREHOLDERS
I hereby give notice that the 2024 Annual General Meeting of Shareholders of Poripori Farm A Trust will be held on Saturday, 2nd November 2024 at 10am (registrations from 9am) at Ngāti Hangarau Marae, 217 Bethlehem Road, Tauranga.

Trustee Election
The Trust must at all times have no less than three (3) Trustees and no more than five (5) Trustees.
Taane Tangitu retires by rotation and offers himself for re-election therefore there is a total of one (1) Trustee vacancy to be filled and nominations are now open.
To nominate a person to be considered for election at the Annual General Meeting the attached Poripori Farm A Trust Nomination Form must be completed correctly and returned to the Secretary by 3:00pm Friday, 11th October 2024.

Voting
Where voting is to be conducted it will be by show of hands provided that if no less than five (5) of the Beneficial owners present call for a Poll, the vote shall be deemed in accordance with the voting Beneficial Owner’s interests in this Trust (Clause 14.1).
For the purposes of a vote by show of hands, where the trustees of another trust are collectively a Beneficial Owner of the Trust (e.g., a Whānau Trust) then only one of their number may vote on behalf of that Trust. Where more than one of the trustees of that trust attend the meeting of the Trust, they must inform the Trustees which of them is to exercise the vote of that Trust. In the absence of a Proxy or failing agreement between them, none of the trustees of that trust is entitled to vote on that trust’s behalf at the meeting of the Trust.
